Description
Duties of Board and Committee Members guides practitioners advising those who are either involved in directing or managing bodies corporate and/or associations of their potential liabilities and responsibilities
The authors advise in their Preface that: "The purpose of this book is to provide those who are concerned in the governance and direction of corporate bodies in Australia with a single comprehensive guide to their potential risks and liabilities. This includes the duties of directors of companies incorporated under the Corporations Act 2001 (Cth) (Corporations Act) or its predecessors, as well as other bodies corporate established under other legislation, or to which special rules apply. There is considerable law, both derived from statute and from the decisions of the courts, which govern the roles and responsibilities of those who sit on boards and other governing bodies."
